By accessing and using UGContent ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

UGContent is an AI-powered fashion content generation platform that provides tools for:

Color transformation of product images
Catalogue and lookbook generation
Virtual try-on visualization
Image to video animation

The Service operates on a credit-based system with optional subscription plans.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Brand Kit Requirement

Use of our tools requires setting up a Brand Kit. You represent and warrant that you have the rights to use any logo, branding materials, and content uploaded to your Brand Kit.

4. Credits and Billing

4.1 Credits System

Our Service uses a credit-based system. Credits are consumed when processing jobs through our AI tools. You are only charged credits for successful processing steps.

4.2 Purchases

Credits can be purchased through:

One-time credit packs (never expire)
Monthly subscriptions (credits reset monthly)

4.3 Refunds

Credit purchases are generally non-refundable. However, we may provide refunds on a case-by-case basis if technical issues prevent you from using the Service.

4.4 Subscription Cancellation

You may cancel your subscription at any time. Your subscription will remain active until the end of your current billing period. Unused subscription credits do not roll over to the next period.

5. Content and Intellectual Property

5.1 Your Content

You retain all rights to the images and content you upload to the Service. By uploading content, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service.

5.2 Generated Content

You own the rights to content generated by the Service using your inputs. However, you acknowledge that similar outputs may be generated for other users with similar inputs.

5.3 Prohibited Content

You agree not to upload or generate content that:

Violates any laws or regulations
Infringes on intellectual property rights of others
Contains explicit, offensive, or inappropriate material
Promotes violence, hatred, or discrimination

5.4 Content Moderation

Our Service includes AI-powered content moderation. We reserve the right to flag, block, or remove content that violates these terms or is deemed inappropriate.

6. File Storage and Retention

Generated files are stored for:

90 days for Starter and Professional plans
180 days for Enterprise plans

After the retention period, files are automatically deleted. We are not responsible for backing up your content. You should download and save any generated content you wish to keep.

7. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service
Use automated systems to access the Service without permission
Resell or redistribute the Service without authorization
Reverse engineer or attempt to extract source code

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law, UGContent and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:

Your use or inability to use the Service
Any generated content or outputs from the Service
Unauthorized access to your account or content
Loss of data or files

10. Warranty Disclaimer

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

11. Indemnification

You agree to indemnify and hold harmless UGContent from any claims, damages, losses, liabilities, and expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Content you upload or generate

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
